Feelplex License Agreement for Purchasers of Digital Content

§ 1 Scope, Provider and Relationship to the General Terms and Conditions

(1) This License Agreement applies to digital content purchased through Feelplex or expressly made available as part of a Feelplex offer under one of the license types described in these terms.

(2) The provider and licensor is

hereinafter referred to as "Feelplex" or the "Licensor".

(3) These License Terms exclusively govern the extent to which digital content purchased through Feelplex may be used. They supplement the Feelplex General Terms and Conditions applicable at the time of the order. Provisions concerning formation of contract, payment, provision, withdrawal, warranty and liability are additionally governed by the General Terms and Conditions and applicable statutory law.

(4) For each purchase, only the license type expressly identified as part of the offer on the product page, in the shopping cart, during the ordering process or in the order confirmation applies. The inclusion of several license types in this document does not grant any rights under a license type that was not purchased.

§ 2 License Types and Applicable License

(1) Feelplex offers exclusively the following three license types:

  1. Private License - personal listening, private projects and non-public use; public or commercial use is not included.
  2. Editorial and Educational License - journalistic, school, higher education, academic, scientific, non-profit, museum or cultural-education use within the permitted purpose.
  3. Commercial / Creator License - monetized content, corporate communications, advertising, client projects, podcasts, social media, apps and comparable productions.

(2) The overview above is provided for orientation only. The full provisions of these License Terms and the license type expressly indicated for the relevant product or during the ordering process are authoritative.

(3) No other license types or individually negotiated special rights of use are offered. Uses that are not covered by any of the three license types or that are expressly excluded under these License Terms are not permitted.

§ 3 Definitions

(1) "Licensed Content" means exclusively the digital content identified in the relevant offer as the subject of the purchase and provided to the Licensee, in particular an audio recording, a photograph, a Sound Journey or comparable digital media content.

(2) Unless expressly stated otherwise, Licensed Content does not include preview files, audio previews, product descriptions, maps, location displays, logos, trademarks, layouts or other content of the Feelplex platform.

(3) "Production" means an independent work or media product created by the Licensee into which the Licensed Content is embedded, edited or combined with other elements of the Licensee or third parties. Within a Production, the Licensed Content may not be offered as a separately usable source file.

(4) "Licensee" means the natural or legal person that has lawfully purchased the Licensed Content under the license type indicated for that content.

§ 4 Rights Ownership and Grant of Rights of Use

(1) Feelplex is the provider of the Licensed Content and, to the extent required for the relevant licensing, holds the necessary copyrights, related rights, rights of use or other legal authority.

(2) The purchase does not transfer any copyrights, related rights, ownership rights in the protected subject matter or exclusive rights. The Licensee receives only the rights of use expressly described in these terms for the license type purchased.

(3) Following valid formation of the contract, full payment of the agreed fee and provision of the Licensed Content, the Licensee receives a non-exclusive, worldwide and perpetual right of use within the scope of the license type purchased. The right of use is non-transferable and non-sublicensable unless these terms expressly provide otherwise.

(4) The perpetual right of use does not create any entitlement to have Feelplex keep the Licensed Content available permanently or for an unlimited number of repeat downloads. The scope and duration of any repeat-download option are governed by the relevant offer and the General Terms and Conditions.

(5) Audio previews, previews and other content made accessible before purchase may be used exclusively to evaluate the offer. Accessing such content does not grant any further rights of use.

§ 5 Generally Permitted Technical Use

(1) The Licensee may store the Licensed Content on its own devices and create working copies, backup copies and format copies required for use in accordance with the contract.

(2) Technical edits such as shortening, cutting, volume adjustment, normalization, fade-ins and fade-outs, mixing, format conversion, equalization and comparable processing are permitted insofar as they serve a use allowed under the license type purchased.

(3) Editing may not be used to offer the Licensed Content as a new standalone sound, as source material for a media library or as a substantially equivalent substitute for the original Licensed Content.

§ 6 Private License

(1) The Private License permits exclusively personal, non-commercial and non-public uses.

(2) In particular, the following are permitted:

  1. private listening to and playback of the Licensed Content;
  2. storage on the Licensee's own devices and in a personal cloud backup that is not publicly accessible to third parties;
  3. use in private, unpublished videos, slideshows or comparable personal projects;
  4. presentation or playback within a private, non-public personal setting.

(3) The Private License does not include, in particular, publication on the internet, on social-media, video or audio platforms, in podcasts, on websites, in cloud storage accessible to the public or to a larger group of persons, at public events or in connection with any business, professional or monetized use.

§ 7 Editorial and Educational License

(1) The Editorial and Educational License permits use of the Licensed Content in journalistic-editorial, school, higher education, academic, scientific, non-profit, museum or cultural-education Productions, provided that the use does not predominantly serve to advertise products or services.

(2) For these purposes, the Licensed Content may in particular be embedded in editorial contributions, documentaries, teaching and educational materials, academic or scientific presentations, exhibitions, podcasts, institutional websites, media libraries, learning platforms and comparable Productions, and may be publicly performed, displayed or made available to the public to the extent required for the permitted purpose.

(3) Making the unmodified or merely technically adjusted source file available for independent download by third parties is not permitted.

(4) Whenever Licensed Content is published or publicly used under the Editorial and Educational License, Feelplex must be identified as the source. As a rule, the source and license credit should read "Audio: Feelplex - feelplex.de". Equivalent wording is permitted provided that "Feelplex" and "feelplex.de" are clearly identified. The credit must be placed in a customary and reasonably perceptible manner appropriate to the form of publication, in particular in credits, end credits, the relevant post, video or episode description, show notes or a clearly assigned source credit. A spoken credit within the work is not required. Any mandatory statutory credit requirements or source credits expressly specified otherwise in the relevant offer remain unaffected.

(5) Uses that primarily serve advertising, sales promotion, sponsorship, commercial brand communication or other economic exploitation require the Commercial / Creator License.

§ 8 Commercial / Creator License

(1) The Commercial / Creator License permits the Licensed Content to be incorporated into Productions created by the Licensee or on behalf of a client and used for commercial, professional, advertising, monetized or other economic purposes.

(2) Permitted uses include, in particular, use in films, videos, podcasts, social-media content, websites, apps, games, corporate communications, advertising, presentations, events and comparable media Productions, provided that the Licensed Content forms part of an independent overall Production and is not offered as a separately usable file.

(3) Agencies, production service providers and other contractors may deliver the finished Production to their client. This does not grant the client any independent right to use the isolated source file. The source file may be supplied to the client or another third party only where this is technically indispensable, the recipient acts exclusively for the specific Production and the recipient receives no independent or broader right of use.

(4) Whenever Licensed Content is published or publicly used under the Commercial / Creator License, Feelplex must be identified as the source. As a rule, the source and license credit should read "Audio: Feelplex - feelplex.de". Equivalent wording is permitted provided that "Feelplex" and "feelplex.de" are clearly identified. The credit must be placed in a customary and reasonably perceptible manner appropriate to the form of publication, in particular in credits, end credits, the relevant post, video or episode description, show notes, or, for websites, in the immediate vicinity of the content used or in a clearly assigned source credit. For apps, games and other software, the credit may be included in the credits or comparable source information. A spoken credit within the work is not required.

(5) The Commercial / Creator License does not provide exclusivity. Feelplex may also license the same or comparable Licensed Content to other licensees.

§ 9 Restrictions Applying to All License Types

(1) In particular, none of the license types permits the following:

  1. selling, renting, lending, giving away, transferring or making the Licensed Content publicly available as a standalone file, download, sound, sample or other independently usable media object;
  2. including the Licensed Content in sound libraries, sample packs, stock-media offerings, templates, databases, download collections or comparable repositories where third parties can independently use, extract or further exploit the Licensed Content;
  3. transferring rights of use in the Licensed Content to third parties or granting sublicenses unless these terms expressly permit this;
  4. presenting the Licensed Content as the Licensee's own work or as exclusively protected content, or claiming exclusive rights in it;
  5. registering the Licensed Content or fingerprints generated from it with automated rights-management systems in a manner that could block, challenge or financially burden Feelplex or other lawful licensees in their use;
  6. registering or claiming the Licensed Content as a trademark, audio logo or other exclusive indication of origin;
  7. intentionally removing or falsifying existing copyright, rights, source or origin notices unless this is unavoidable for a permitted technical edit;
  8. using the Licensed Content unlawfully or in a manner that falsely suggests that Feelplex, an identifiable third party or a rights holder supports, recommends or endorses the specific Production.
§ 10 Access by Employees, Service Providers and Technical Systems

(1) Under the Editorial and Educational License and the Commercial / Creator License, the Licensee may grant access to the Licensed Content to its own employees or commissioned service providers who require access exclusively to create the permitted Production.

(2) The Licensee must ensure that such persons do not use the Licensed Content for their own purposes, transfer it or permanently store it in their own media collections. Responsibility for compliant use remains with the Licensee.

(3) Temporary use of technically required cloud, editing, hosting or collaboration services is permitted provided that access remains limited to the persons necessary for the Production and the Licensed Content is not offered as a standalone public download.

§ 11 Artificial Intelligence, Machine Learning and Text and Data Mining

(1) To the extent permitted by law, the Licensee may not use the Licensed Content for training, fine-tuning, testing, evaluating or developing generative AI systems or other machine-learning models, make it available for such purposes or add it to a corresponding training, reference or benchmark dataset.

(2) To the extent permitted by law, it is likewise prohibited to create datasets, embeddings, models or other resources from the Licensed Content that enable third parties to perform comparable automated analysis, reconstruction or generation of the Licensed Content or its characteristic elements.

(3) Feelplex or the respective rights holder expressly reserves rights relating to text and data mining to the extent permitted by law. Mandatory statutory rights of use, including legally privileged uses for research and teaching, remain unaffected.

§ 12 Authentic Recordings and Third-Party Rights

(1) Feelplex content may contain real places, situations, sounds, voices, announcements, fragments of music, trademarks, works, performances, buildings, vehicles or other elements of the real environment. The license to a Feelplex recording covers exclusively the rights that Feelplex holds for the offered use and is legally able to grant.

(2) Unless expressly stated otherwise in the relevant offer, no independent rights are granted in trademarks, copyrighted works, musical works, performances, personality rights or other third-party rights perceptible within a recording.

(3) Where a use extending beyond the normal use of the recording requires additional third-party rights, the Licensee is responsible for examining and, where necessary, obtaining those additional rights. The Licensee's statutory information, warranty and liability rights remain unaffected.

§ 13 Feelplex Name, Logo and Source Notices

(1) This license grants no rights in the trademark, name, logo or other identifiers of Feelplex or BYTSCH Technology UG (haftungsbeschränkt), except to the extent expressly permitted for a source credit.

(2) A permitted source credit does not create any partnership, recommendation, sponsorship relationship or other organizational connection between Feelplex and the Licensee.

§ 14 Duration, Reversal of the Transaction and License Violations

(1) The right of use granted under these terms is perpetual.

(2) If the underlying contract is validly withdrawn from, avoided, cancelled or otherwise reversed, the right to use the affected Licensed Content ends when the reversal takes effect, to the extent permitted by law. Existing statutory rights and obligations remain unaffected.

(3) In the event of a material culpable breach of these License Terms, Feelplex reserves all statutory claims, in particular claims for injunctive relief and damages. Where remedy is possible and legally required, Feelplex may set a reasonable period for curing the breach before taking further measures.

§ 15 Mandatory Statutory Rights and Consumer Rights

(1) Mandatory statutory rights of use and legally permitted copyright exceptions and limitations remain unaffected by these License Terms.

(2) Statutory consumer rights, in particular rights relating to the provision and conformity of digital products, warranty rights and any applicable right of withdrawal, are not restricted by these License Terms.

(3) The requirements and legal consequences of the expiry of a right of withdrawal where digital content is provided before the expiry of the withdrawal period are governed exclusively by applicable law, the withdrawal information and the specific ordering process. This License Agreement does not replace any consent or confirmation required from the consumer for this purpose.

§ 16 Revision, Language and Documentation of the Purchased License

(1) This version bears revision number 3230 and is dated 30 September 2026.

(2) The license type applicable to the relevant purchase is clearly identified in the product presentation, during the ordering process or in the order confirmation. Making this complete document available does not extend the license type purchased.

(3) The German-language version of these License Terms applies to German-language offers. The English-language version applies to English-language offers.
